<p>It is with sadness and regret that we must announce that Poker Pages and all of its related services will be closed on October 31, 2009.</p>
<p>For many years Poker Pages has enjoyed providing the best source of poker related content, arguably the Internet&#8217;s largest and most complete live poker tournament results and listings database, as well as a place to play poker for free. These services will certainly be missed, but we realize that the most appreciated benefit of our products and services has been the community created by our user base. We thank you for the many great years you allowed us to provide you with the best poker content on the Internet and wish you all the best in your future poker endeavors. It has been a pleasure and a privilege serving you over the years!<br />

<p>Rumblings over the past year that the site was in financial trouble, combined with complaints from readers that the content was in desperate need of some organization and updates, made this announcement somewhat predictable. However, it is still sad for many of us who got our starts in the poker media by working at PokerPages. (My first WSOP reporting in 2007 was done for PokerPages, and it was where I dipped my toes in the waters of the blogosphere.) And it is certainly a sign of the tough financial times for the poker industry, as a site with such history and assets could not survive.</p>
<p>Here&#8217;s to the good years at PokerPages, and best wishes to those now out of work due to the shutdown.</p>

<p>More than four hours into the final table &#8220;action,&#8221; Negreanu worked his way into second place. And that&#8217;s about it. The night shift crew were suspicious about this and decided to stay to see what was really going to happen. The employees saw how a truck started gathering all the office equipment. This is the moment when employees went to the police and explained the situation and went back with the police in order to stop the process. Apparently, there are some arrests and right now the employees are in court explaining the situation to the authorities, to explain them that he is in a &#8220;flight risk&#8221; situation and should not let the owners out of Costa Rica.</p></blockquote>

Governor of Nevada, Bob Stupak died today in Las Vegas of leukemia. He was 67-years old.</p>
<p><a href="http://www.kvbc.com/Global/story.asp?S=11201468">KVBC of Las Vegas</a> printed the news release:</p>
<blockquote><p>BOB STUPAK, LONG-TIME LAS VEGAN, DEVELOPER OF THE STRATOSPHERE, PASSES AWAY AT 67</p>
<p>LAS VEGAS &#8211; Bob Stupak, who is best known for revolutionizing the Las Vegas Strip with the development of The Stratosphere, passed away today at the age of 67.</p>
<p>Stupak was with close family at the Desert Springs Hospital this afternoon when medical maladies, including leukemia, took his life at 1:15 p.m. Per Stupak&#8217;s request, he will be cremated and there will not be a funeral.</p>
<p><span id="more-12118"></span></p>
<p>Stupak was born in Pittsburgh, Penn. in 1942. Stupak made his final move to Las Vegas in 1971, and in 1974 he opened &#8220;Bob Stupak&#8217;s World Famous Historic Gambling Museum&#8221; at the north corner of Sahara Avenue at Las Vegas Boulevard South.</p>
<p>In 1979, Stupak opened Vegas World, where he innovated the industry with new twists on promotions and games that would be modeled for years to come. In 1989, Stupak won a widely publicized million dollar wager on Super Bowl XXIII, and later that year he won the Deuce to Seven Lowball Championship Bracelet at the World Series of Poker.</p>
<p>In 1995, Stupak suffered a motorcycle accident that broke every bone in his face and caused him to go into a coma. Although the initial prognosis was that he would not survive, Stupak made a full recovery. He went on to open The Stratosphere in 1996, and sold it to Carl Icahn in 1998. Stupak continued to work in hotel-casino development and as a professional poker player.</p>
<p>Stupak was an integral part of the Las Vegas community, and made substantial contributions to The City of Las Vegas Chester Stupak Family Park, named for his father, the Stupak Community Center, and more.</p>
<p>Stupak is survived by two sisters, Linda Phillips and Nancy O&#8217;Conner, both reside in Pittsburgh, Penn., as well as two daughters, Nicole in Sydney, Australia, and Summer in Las Vegas, and his son, Nevada, who also resides in Las Vegas. He is also survived by two ex-wives, Sandra Blumen of Las Vegas, and Annette Hatton of Sydney, Australia. </p></blockquote>

			<content:encoded><![CDATA[<p>The idea of using online gaming tax revenues to help fund elements of health care reform became part of the Congressional conversation this weekend. On Saturday, <a href="http://wyden.senate.gov/ron/">Sen. Ron Wyden (D-OR)</a> introduced a possible amendment to the Baucus bill (America&#8217;s Healthy Future Act of 2009) that would rely on the passage of <a href="http://pokerati.com/2009/05/06/frank-introduces-internet-gambling-billget-used-to-saying-internet-gambling-regulation-consumer-protection-enforcement-act-of-2009/">Rep. Barney Frank&#8217;s HR 2267</a> to set up a regulatory structure that would provide health care revenue.</p>
<p><a href="http://www.safeandsecureig.org/news/press_releases/09-09-21_Wyden.html">According to the Safe and Secure Internet Gambling Initiative</a>, the tens of billions of dollars collected by the U.S. government from online gaming could offset health care costs going forward:</p>

An increased focus on the benefits of Internet gambling regulation are expected as the Senate Finance Committee considers a proposal introduced on Saturday to use Internet gambling revenue to offset the costs of health care reform.  The amendment offered by Senator Ron Wyden (D-OR) would dedicate Internet gambling tax revenue generated through implementation of the currently pending Internet Regulation, Consumer Protection and Enforcement Act (H.R. 2267) to increase low-income subsidies provided through the America&#8217;s Healthy Future Act of 2009.  A PricewaterhouseCoopers analysis shows that collecting taxes on regulated Internet gambling would allow the U.S. to capture up to $62.7 billion over the next decade.</p></blockquote>
<p>Wyden is a chairman of the Senate Finance subcommittee on International Trade, Customs and Global Competitiveness.</p>

His <a href="http://www.pokerroad.com/blog/joe-sebok/posts/a-big-announcement-new-york-city-ny">latest blog post on PokerRoad</a> starts with his skepticism about joining UB when he was asked on previous occasions, and it ends with the reasons he not only agreed to be a sponsored player but a consultant for the company in charge of media and operations.</p>
<p>The stipulation for joining the team came with wanting to ensure that the company moves forward &#8211; away from the scandal &#8211; in a positive direction and maintains a spotlessly clean reputation and record. Feeling responsible to the poker community that is part of PokerRoad, he wanted to be sure that he will represent a company that he believes in and one that the poker world can again trust. And to show that UB is willing to be as open as possible, the company has agreed to let Sebok&#8217;s first priority be the release of all hand histories associated with the scandal and the names of those paired with those accounts. Though <a href="http://pokerati.com/2009/09/11/kgc-speaks-on-list-of-hamilton-co-conspirators31-names-will-not-be-releasedleaked/">KGC wanted no part of releasing the names of Russ Hamilton&#8217;s 31 co-conspirators</a>, UB seems to have changed its mind on the subject.</p>

Much of the focus is on the men who helped pass the UIGEA, giving little attention to the powerful women in Congress who now oppose our attempts to pass reasonable online poker regulation bills. No argument on that, but when he cites the female members of Congress who stand in the way of positive change, he lists:</p>
<p>Rep. Nancy Pelosi (D-CA)<br />
Sen. Diane Feinstein (D-CA)<br />
Sen. Barbara Boxer (D-CA)<br />
Rep. Maxine Waters (D-CA)<br />
Gov. Christine Gregoire (D-WA)</p>
<p>Ummm, the last person is a governor! While she certainly screwed up online poker in Washington in a major way, she has little to do with the passage, or lack thereof, of federal legislation. Methinks Mr. Dalla got a little carried away with women who are &#8220;bad for poker.&#8221;</p>
<p>His advice to the PPA and the voting public is well-taken, though. The PPA should consider refocusing its media attempts at constituents who can make a difference, whether by votes or campaign donations. His closing remarks after the break:</p>

<blockquote><p>For far too long, groups like the Poker Players Alliance (PPA) believe they can win the political debate with simple logic.  Sure, our argument is better than their argument and most rational people would agree after listing to a five-minute exchange, but this isnâ€™t a high school debate class.  Itâ€™s a political street fight versus powerful forces camped out on both the right and the left.  Until the PPA rolls up its sleeves and dives into the trenches with an all-out media bombardment aimed directly at the oblivious mainstream voter, nothing is going to change.  Sure, we might sway a few Ivy League professors and political columnists from time to time.  A few poker players might get five minutes of airtime on MSNBC or FOX.  Thatâ€™s all good, but online poker is not going to be legalized and regulated in the United States until some significant changes in strategy take place.</p>
<p>The first rule of politics is that â€œrightâ€ and â€œwrongâ€ have little to do with any issue of significance.  The debate you see on C-SPAN is pretty much scripted and irrelevant.  No Congressman or Senator is swayed one way or the other on any legislation without either coercion or compromise.</p>
<p>Indeed, Washington is nothing more than a gigantic power plant fueled by the only lubricant of any real action â€“ money.  Lots of money.  Whatever your political views may be, I strongly advise against poker players donating money to national party organizations.  If you support a political candidate, donate to the person directly and not to the Democratic National Committee or to the Republican National Committee.  If you make a donation to either of these organizations, thereâ€™s a good chance some of your money is going to be funneled into the re-election campaigns of Kyl and Pelosi.  Just say no.</p></blockquote>

<p>Newitt was the former Tilt employee responsible for inadvertently forwarding  <a href="http://pokerati.com/2007/11/13/im-too-sexy-for-my-poker/">Howard Lederer e-mail about Jimmy &#8220;Gobboboy&#8221; Fricke</a> (the &#8220;freak and very weird dude&#8221;) &#8212; an &#8220;oops&#8221; that <a href="http://archives1.twoplustwo.com/showflat.php?Cat=0&#038;Number=12854238&#038;page=0&#038;fpart=1&#038;vc=1">revealed a little something about Lederer and Bitar&#8217;s </a>positions and powers within the Full Tilt money machine.  Whether or not this had anything to do with Newitt&#8217;s dismissal and the subsequent lawsuit remains to be seen until we get our sneaky little hands on the court documents.</p>

The case of the Governor Beshear and the Commonwealth of Kentucky trying to claim the ability to seize 141 online gaming domains, or &#8220;gambling devices&#8221; as they were called, to keep them from accessing Kentucky residents will see the halls of the KY Supreme Court next month on an appeal from the Commonwealth.</p>
<p>Many months ago, a group of organizations representing internet freedoms and the rights of online gambling companies <a href="http://pokerati.com/2009/01/21/re-kentucky-appeals-kentucky-appealmore-technicality-than-principle-internet-police-laws-at-stake/">won an important appeal</a> in the Kentucky court system, and that victory prohibited the Commonwealth from proceeding with its attempted seizure of those domains. The state promised to appeal to the Supreme Court, and that latest appeal was granted this month. Those fighting the state on the matter include iMEGA (Internet Media Entertainment &#038; Gaming Association), PPA (Poker Players Alliance), ACLU (American Civil Liberties Union), CDT (Center for Democracy and Technology, EFF (Electronic Frontier Foundation), Internet Commerce Association, eBay, and Network Solutions. (Can we win on number of appellees alone?)</p>
<p>According to <a href="http://www.imega.org/2009/09/04/kentucky-supreme-court-to-hear-i-gaming-suit/">iMEGA&#8217;s announcement</a>:</p>
<blockquote><p>The Supreme Court has set oral argument in Commonwealth of Kentucky  v. IMEGA, et al for 11 a.m. on Thursday October 22, 2009 in the Supreme Court courtroom.  The order allots 15 minutes for each side.</p>
<p>â€œWeâ€™ve been waiting for this for a long time, and weâ€™re going to win again,â€ said Joe Brennan Jr., iMEGAâ€™s chairman. â€œFrom the beginning, Kentucky law has clearly supported our position, and a win in the State Supreme Court will put the final emphasis on that.â€</p></blockquote>

			<content:encoded><![CDATA[<p>As soon as the Kahnawake Gaming Commission released its <a href="http://pokerati.com/2009/09/11/kgc-releases-final-ub-scandal-decisionaccount-names-released-hamilton-said-to-have-31-co-conspirators/">final decision in the UltimateBet cheating scandal</a>, the questions started hitting. Most of them concerned the secrecy around the list of 31 names said to be associated with Russ Hamilton. A discussion with Chuck Barnett, member of the Board of Supervisors of Mohawk Internet Technologies, provided his reasons for not releasing that list of names.</p>
<p>Mr. Barnett first told me that implicating Hamilton in the scandal was not a problem, as it was &#8220;very clear&#8221; that he was directly connected and responsible for the crimes being alleged. The names of the 31 individuals associated were another story, he says. The Commission had lengthy discussions regarding the release of those names and ultimately consulted their legal team and law enforcement officials.</p>
<p>On the legal front, they deemed it a civil liability issue, as the suspects are directly linked to Hamilton or the 117 accounts listed BUT there is the possibility that they had no knowledge of the scheme. If they were accused and found to be completely oblivious to or innocent of the crimes, there would be liability in falsely accusing them. There is also some question as to each person&#8217;s level of culpability, which can&#8217;t be known until they are questioned by the proper authorities. And per law enforcement, naming the individuals would impede a criminal investigation, as anyone named may be able to flee the country, hide, etc. With all things considered, the KGC made the decision to withhold the names.</p>
<p>When asked about the law enforcement agencies involved, Mr. Barnett wouldn&#8217;t say much. Legally, all he said he could say was all information from the KGC investigation was turned over to &#8220;law enforcement,&#8221; which had expressed a distinct interest in pursuing the case. He could not say, however, whether those were Canadian or U.S. authorities, only that there were discussions with &#8220;regional and national&#8221; agencies.</p>
<p>If/when indictments are handed down or prosecutions are made, or if some other permission is given by law enforcement, the KGC will make public the names &#8211; and be happy to do it. Until then, based on overwhelming advice, the list will remain a mystery.</p>

			<content:encoded><![CDATA[<p>The Kahnawake Gaming Commission&#8217;s investigation into the UltimateBet cheating scandal has been concluded with the release of its final decision. The 11-page document does provide some new information.</p>
<p>â€¢	In total, Tokwiro, owner of UltimateBet, <strong>refunded $22,054,351.91</strong> to players affected by the cheating incidences.<br />
â€¢	Tokwiro paid <strong>$1.5 million in fines</strong>, plus the costs of the investigation, to the KGC.<br />
â€¢	Tokwiro is on a <strong>one-year &#8220;probation&#8221; period</strong>, during which time it must provide all details of daily operations, including financial and gaming records.<br />
â€¢	Going forward, Tokwiro must maintain three sets of <strong>web/game logs</strong>, one of which will be housed at the offices of the KGC.<br />
â€¢	All officers, directors, shareholders, and key people associated with Tokwiro must be known to the KGC.<br />
â€¢	There were <strong>23 accounts and 117 usernames</strong> used in the cheating.<br />
â€¢	Much of the stolen money was disbursed through player-to-player transfers on UB.<br />
â€¢	<strong>Russell Hamilton</strong>, associated at the time with eWorld Holdings Group, was primarily responsible for the scandal. The &#8220;vast majority&#8221; of the IP addresses used were directly connected to Hamilton.<br />
â€¢	Hamilton&#8217;s actions that constituted <strong>&#8220;criminal behaviour&#8221; were associated with 31 other individuals</strong>, whose names were not released in the document.<br />
â€¢	All information has been provided to <strong>law enforcement authorities</strong> to determine if criminal charges can be filed.</p>

<p>&#8220;Despite the unfortunate circumstances that resulted in this cheating, we are satisfied that the actions taken by the Commission provided an equitable result for affected players &#8211; our first priority. We remain optimistic that this experience and the lessons learned from it will result in a higher standard of gaming regulation for companies licensed and regulated within the Mohawk Territory of Kahnawake and elsewhere,&#8221; said Chairman Montour.

Some are not surprising, like Jason Mercier signing with PokerStars, while others (like half the Full Tilt roster) are baffling. Regardless, two developments came to light today.</p>
<p>First, UltimateBet announced that Tiffany Michelle has been re-signed to another one-year deal with the site. In addition to again noting her deep run in the 2008 WSOP Main Event, the press release cites &#8220;accomplishments in land-based events and UltimateBet&#8217;s online poker tables.&#8221; Coincidence that the announcement came on the same day as her photo <a href="http://pokerati.com/2009/09/09/maria-ho-tiffany-michelle-set-for-debut-on-amazing-race/">appeared on the Amazing Race website</a>?</p>
<blockquote><p>â€œI&#8217;m happy to be signing on for another year with UltimateBet and Iâ€™m eager to get back to playing in live tournaments and exclusively at their online tables,â€ said Tiffany Michelle. â€œThe corporate team at UB has been so welcoming and supportive and I&#8217;m thrilled to be working with them. I can&#8217;t wait for the exciting things in store for us.â€</p></blockquote>
<p>Second, the <a href="http://www.pokernews.com/live-reporting/2009-ept-barcelona/main-event/day5/page8.htm">European Poker Tour Barcelona live reporting team</a> let it slip (after a commentator first did on the EPT Live broadcast earlier in the day) that Isabelle Mercier is no longer a PokerStars-sponsored player. Since sites usually give no reason for dropping players, much less release that information themselves, we <s>can certainly speculate</s> don&#8217;t know why Isabelle was dropped. The blurb from the PokerNews reporter:</p>

<blockquote><p>&#8220;It&#8217;s obviously different from competition at the poker table,&#8221; said Ho, who came in 11th place at this year&#8217;s World Series of Poker in Las Vegas. &#8220;It&#8217;s outdoorsy. This is physical and mental, but we will definitely be applying whatever skills we have as gamers to this competition and push ourselves in different ways that we&#8217;re not used to doing.&#8221;</p></blockquote>
<p>Their combined bio can be found on the <a href="http://www.cbs.com/primetime/amazing_race/bio/maria_and_tiffany_15/bio.php?season=15">CBS website</a> and describes them as well-traveled, extremely competitive, strong-minded, and savvy. (Funny &#8211; but not really &#8211; that they&#8217;re described by most poker media as simply &#8220;hot.&#8221;) Despite my usual ban on reality television, I&#8217;ll set the DVR to see how far the ladies make it. The premiere is Sunday, September 27.</p>

			<content:encoded><![CDATA[<p>Many in the poker industry consider the UltimateBet and Absolute Poker scandals resolved, at least as much as we can expect them to be considering the sources of any information and the lack of the ability to involve U.S. law enforcement due to jurisdictional issues. And while some of us still have eyes and ears open for further developments, such as those that may appear on a <a href="http://twitter.com/BigRussPoker">Russ Hamilton twitter feed</a>, Haley Hintze, former Editor-in-Chief of PokerNews, has decided to put out all of her well-informed conjecture on <a href="http://haleyspokerblog.blogspot.com">her own blog</a> and gives one of the more detailed explanations of how, when, and why the UB/AP scandals were perpetrated. Though she has only posted Part 1, the rest of the story, we presume, is forthcoming.</p>
<p>Part 1 dives into the beginnings and how Hamilton got involved and possibly recruited help. Here is a portion of the post:</p>
<blockquote><p>There are three reasonable scenarios for how the cheating spread, as spread it surely did:</p>
<p>1) One or more software engineers working on the UB code recognized the illicit profit potential for themselves, and also began to slice money from the games;</p>
<p>2) Hamilton himself recruited one or more Costa Rican workers to assist him in the cheating, as a way of expanding the total money being stolen;</p>
<p>3) Someone at UB caught Hamilton &#8212; probably noticing unusual withdrawal amounts relative to the amount of play Hamilton was logging &#8212; and decided to cut himself in for a slice of the action.</p>
<p>From some time in 2006, I believe, it was game on in a big way for the cheats. I&#8217;d heard whispers as far back as 2005 that something was wrong with the cash games at UB, but I played there very little, only at small stakes, and couldn&#8217;t really speak to it.</p></blockquote>

Argh!</s> But I&#8217;ve gotta be honest&#8230; The other side of that coin is that girls will be girls.</p>
<p>Believe it or not, there are some hot boys in poker who, with just a glance across the table, can make us drop our, ummm, chips. It is true that many of them, while looking good with their rock-hard abs and chiseled upper arms, do have poker &#8220;performance issues&#8221; (most of my hot boy picks didn&#8217;t exactly show positive results at the WSOP), but sometimes poker is <em>hard</em>! Even without final tables or gold bracelets, they still to stand out from the masses &#8211; at least 6 to 8 inches, I assume. Here are a few:</p>

			<content:encoded><![CDATA[<p>In the last edition of Card Player Magazine that I may receive (canceled the subscription after his initial WSOP comments), <strong>November Nine member Jeff Shulman</strong> takes the sly opportunity to make another unclear <s>accusation</s> point about the WSOP and Harrah&#8217;s.</p>
<p>To refresh memories, Shulman was headed for the final table of the WSOP Main Event in July and <a href="http://pokerati.com/2009/07/15/cardplayers-jeff-shulman-to-trash-wsop-bracelet/">made some comments regarding the possibility of winning the bracelet</a>, namely that he would throw the gold in the trash. Two days later, CardPlayer.com published a story allowing Shulman to clarify his feelings. He noted therein that he was disappointed in how the WSOP is run, and that it is no longer run by people who care about poker or have the players in mind. Some of his comments:</p>
<blockquote><p>â€œLook, I love poker and entered with the hopes of winning,â€ Shulman stated. â€œBut, more importantly, I support making the industry stronger and better for the players, and to do this, there needs to be some major changes to the way the World Series is run at the highest level. Hopefully, by doing something like this, people will start talking about those changes. I am going to stand by my commitment, but instead of pointlessly throwing it in the trash, I have come up with a few ideas.â€</p>
<p>Jeff Shulmanâ€™s alternative bracelet ideas:<br />
1. Auction off the bracelet and give the money to charity<br />
2. Hold a tournament for all players shut out of the main event and award the winner the bracelet<br />
3. Give the bracelet away in a SpadeClub.com tournament<br />
4. Give the bracelet to Stephen Colbert

<p>As the <strong>Card Player Media President and COO</strong>, Shulman has the magazine at his disposal in which to write a lengthy explanation of what is so wrong with Harrah&#8217;s and how he could fix poker. Instead, though, a page in the September 1 issue is dedicated (as always) to the Card Player TV show entitled &#8220;The Scoop with Adam &#038; Diego,&#8221; and this time Shulman was the guest and excerpts were printed from the interview. Right off the bat, Diego Cordovez asked a question that baffled me coming from someone in the poker press:</p>
<p>&#8220;Now, the last couple of days, the poker press, <strong>what there is of it</strong>, has started to quote you and stir up controversy, which you initiated&#8230;&#8221;</p>
<p>Anyhooo, his answer? &#8220;&#8230;I&#8217;ve had a lot of people come up to me and say that somebody&#8217;s got to do something about it. I&#8217;m not sure I&#8217;m the right guy, being that I&#8217;m in the industry, but it&#8217;s not like we have some special relationship here. They hate us, for whatever reason&#8230; I think they hate anyone who&#8217;s not a celebrity, or maybe it&#8217;s just that they treat the celebrities so much better than everyone else that they have special rules, they don&#8217;t get penalties. I&#8217;ve never seen anything like it. <strong>If we really want to take poker to the next level, you can&#8217;t have different rules for different people</strong>.&#8221;</p>
<p>Evidently, by disrespecting the WSOP bracelet and Harrah&#8217;s (and all the players who would do anything to be in his final table position), he plans to take poker to the next level. Would that be the rude and insulting level? Would that be the vague and evasive level? Would love to hear some thoughts on this issue&#8230;</p>

<p>LOS ANGELES, Aug 24, 2009 (BUSINESS WIRE) &#8212; WPT Enterprises, Inc. (Nasdaq: WPTE) (&#8220;WPTE&#8221; or the &#8220;Company&#8221;) today announced that a subsidiary of PartyGaming Plc, Peerless Media Ltd. (&#8220;Peerless Media&#8221;), has agreed to purchase substantially all of WPTE&#8217;s operating assets other than cash, investments and certain excluded assets. WPTE&#8217;s Board of Directors received the offer after privately held investment group, Gamynia Limited, and WPTE announced an asset acquisition agreement, which was terminated after further consideration of the Peerless Media&#8217;s financial proposal.</p>

<p>Under the asset purchase agreement, WPTE will sell its television library, including all related intellectual property rights, brand names, trade names, certain assumed contracts and tangible personal property. WPTE will retain its cash and cash equivalents, investments in debt securities and put rights, certain other investment and litigation assets, and future license revenues from certain existing Sponsorship deals for Season Seven of the World Poker Tour.</p>
<p>The net cash proceeds from the asset sale will be retained by WPTE which plans to use the cash to develop or acquire a non-poker related business. WPTE does not currently intend to distribute any proceeds from the asset sale to its stockholders.</p>
<p>Closing Conditions and Stockholder Approval</p>
<p>The asset purchase transaction is subject to specified closing conditions. The obligation of Peerless Media to complete the transaction is subject to the absence of changes or circumstances that are materially adverse to the Company&#8217;s financial condition, assets, business or results of operations and other customary closing conditions. The Company&#8217;s obligation to complete the asset sale is subject to the approval by the Company&#8217;s stockholders of the asset sale transaction and other customary closing conditions. The Company and Peerless Media currently expect to complete the transaction in the fourth quarter of 2009.</p>
<p>The transaction must be approved by a majority of the holders of the Company&#8217;s outstanding common stock. To that end, and as described further below, the Company expects to hold a special meeting of stockholders and in connection therewith to mail a proxy statement to its stockholders that will provide additional information concerning the asset sale transaction and the asset purchase agreement. Certain significant Company stockholders, representing approximately 39% of the Company&#8217;s common stock, have entered into voting agreements committing to vote in favor of the asset sale transaction to Peerless Media.</p>
